Compre Inc. Terms of Service
Last updated: 12 October 2026
These Terms of Service (the "Terms") govern your use of the Compre website at getcompre.com (the "Site") and the Compre procurement software, including the Compre mobile apps, the web dashboard and the Compre WhatsApp channel (together with the Site, the "Service"). The Service is provided by Compre Inc. ("Compre", "we", "us").
By creating an account, accessing or using the Service, you agree to these Terms on behalf of yourself and the business you represent. If you do not agree, do not use the Service. Where your business has signed a separate written agreement with Compre (for example, a wholesaler subscription agreement), that agreement prevails over these Terms to the extent they conflict.
1. What Compre Is, and What It Is Not
Compre is procurement software. It helps pharmacies and other licensed businesses ("Retailers") order from the wholesalers and distributors they already buy from ("Suppliers"), and helps Suppliers run their customer, catalogue, order and credit operations. Each Supplier appears inside its own named Shop on Compre.
- Compre is not a seller or a pharmacy. Compre does not buy, sell, store, handle or deliver medicines or other products, and does not take title to them. Every sale is made directly between the Retailer and the Supplier.
- Suppliers are responsible for what they sell. The Supplier alone is responsible for its products, product information, prices, availability, order acceptance, fulfilment, delivery, returns and its own regulatory obligations. Compre does not inspect products and makes no representation about their quality, origin or suitability.
- Compre does not lend. Any credit, payment terms, credit limits or due dates shown in the Service are offered and set by the Supplier to its own customer. The credit relationship is solely between the Supplier and the Retailer. Compre records and displays it and sends reminders on the Supplier's instructions.
- Compre does not process or hold payments. Retailers pay Suppliers directly, outside Compre, using the payment details the Supplier provides. When a Retailer submits proof of payment, the Supplier reviews it and decides whether to record the payment. A payment shown as confirmed means the Supplier confirmed it; Compre does not verify bank transfers.
- Business review is not an endorsement. Compre may review business documents (such as registration or licence details) before activating an account. That review is not a certification of a business's licensing status, products or conduct, and you remain responsible for your own due diligence.
2. Accounts
- The Service is for businesses. You must be at least 18 and authorised to act for the business you register.
- You must provide accurate information and keep it up to date, and you are responsible for holding and maintaining every licence, registration and permit your business needs to buy, sell or handle the products you order or supply.
- You are responsible for all activity under your account, including the actions of team members you invite. Keep your login credentials and one-time codes confidential and tell us promptly at the address in Section 17 if you suspect unauthorised access.
- We may suspend or refuse an account where we reasonably believe information is false or the account is being misused.
3. Orders, Prices, Credit and Payment
- Prices, product availability and payment terms are set by each Supplier and may differ between Suppliers and between customers of the same Supplier. Information shown in the Service may change until the Supplier confirms your order.
- An order placed through the Service is an offer to the Supplier. The Supplier may accept, change (with your agreement where the Service asks for it) or decline it. Any contract of sale is between you and the Supplier on the Supplier's terms.
- Suppliers who offer credit decide who receives it, the limit, the payment terms, grace periods and whether to suspend it. Statements, balances and ageing shown in the Service are calculated from the records in Compre and are provided for convenience; they are not tax invoices or official receipts unless the Supplier issues them as such.
- Disputes about products, deliveries, prices, credit or payments are between the Retailer and the Supplier. The Service provides tools to raise and track them, but Compre does not decide them.
4. WhatsApp, SMS, Email and Push Messages
- By providing a phone number or email address, you agree that Compre may send you messages about your account, orders, payments, credit and requests you make, including on behalf of Suppliers you buy from.
- You can stop WhatsApp messages by replying STOP, and manage other notifications in your app settings. Some messages about your account or security may still be sent where needed to provide the Service.
- Messaging providers (such as WhatsApp) apply their own terms. Your network operator may charge for data or messages.
5. AI-Assisted Features
Some features use automated and AI-assisted processing, for example to read an order from a photo, voice note, document or message and match it to a Supplier's catalogue. These features make suggestions. Where a match is uncertain, the Service asks you to confirm it, and you should review every order before you submit it. Automated output can be wrong, and you remain responsible for what you submit.
6. Acceptable Use
You agree not to:
- use the Service to break any law or regulation, including laws on the sale and supply of medicines;
- provide false information, impersonate another person or business, or submit false proof of payment;
- access another business's data, Shop, prices or account without authorisation;
- interfere with, overload, probe or reverse-engineer the Service, or bypass its security;
- scrape, data-mine or harvest information from the Service by automated means, except through an API we provide for that purpose;
- resell, sublicense or provide the Service to third parties except as we agree in writing; or
- send unlawful, abusive or misleading content through the Service.
7. Your Data
- You keep ownership of the data and content you put into the Service ("Your Data"). You grant Compre a licence to host, process, transmit and display Your Data to provide, secure and improve the Service and to comply with law.
- A Supplier's commercial information, such as its prices, customer list and credit terms, is shown only to that Supplier and to its own customers as the Supplier configures. Compre does not show one Supplier's commercial terms to another Supplier.
- We may use aggregated and de-identified information to operate and improve the Service and to produce insights that do not identify you or reveal any Supplier's confidential terms.
- Our handling of personal data is described in our Privacy Policy.
8. Intellectual Property
The Service, including its software, design, text and trademarks, belongs to Compre and its licensors and is protected by intellectual property laws. Subject to these Terms, Compre grants you a limited, revocable, non-exclusive, non-transferable licence to use the Service for your business's internal procurement and operations. No other right is granted, whether by implication, estoppel or otherwise. If you send us feedback, we may use it without obligation to you.
9. Third-Party Services
The Service relies on and may link to third-party services, such as messaging providers, app stores, mapping and accounting systems you choose to connect. Their terms apply to your use of them, and Compre is not responsible for them.
10. Availability and Changes
We work to keep the Service available and reliable, but we do not guarantee uninterrupted access. The Service may be unavailable during maintenance, including scheduled overnight maintenance windows, or for reasons outside our control. We may change, add or remove features. Where a change materially reduces a paid feature, we will give reasonable notice.
11. Disclaimer of Warranties
TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". COMPRE AND ITS AFFILIATES, EMPLOYEES AND AGENTS (THE "COMPRE PARTIES") DISCLAIM ALL WARRANTIES, REPRESENTATIONS AND CONDITIONS, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. THE COMPRE PARTIES MAKE NO WARRANTY ABOUT ANY PRODUCT, PRICE, DELIVERY, CREDIT OR PAYMENT BETWEEN RETAILERS AND SUPPLIERS.
12. Limitation of Liability
TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE COMPRE PARTIES ARE NOT LIABLE FOR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, OR FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE, EVEN IF ADVISED OF THEIR POSSIBILITY. THE COMPRE PARTIES' AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED $100 (USD). NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
13. Indemnification
You agree to indemnify and hold harmless the Compre Parties from claims, losses, liabilities, damages and expenses (including reasonable legal fees) arising from your breach of these Terms, your violation of law, Your Data, or your dealings with other users of the Service, including any sale, credit, payment or dispute between a Retailer and a Supplier.
14. Suspension and Termination
You may stop using the Service at any time and may request deletion of your account as described on our account deletion page. We may suspend or end your access if you breach these Terms, if your use creates risk for other users or for Compre, or if required by law. Sections 1, 3.4, 7 to 9 and 11 to 16 survive termination. Records may be retained after termination where the law or legitimate business needs (such as accounting records) require it.
15. Governing Law
These Terms, and any action related to them, are governed by the laws of the State of Delaware, consistent with the Federal Arbitration Act, without regard to conflict-of-law principles. If you reside in the UK or the EU, these Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) are governed by the laws of England and Wales.
16. Changes to These Terms
We may update these Terms. We will post the updated Terms on this page with a new "Last updated" date and, for material changes, notify you through the Service or by email. Continuing to use the Service after the changes take effect means you accept them.
